Corporate Governance
The Canadian securities regulatory authorities have issued corporate governance guidelines pursuant to National Policy 58-201 - Corporate Governance Guidelines ("NP 58-201" or the "Corporate Governance Guidelines") together with certain related disclosure requirements pursuant to National Instrument 58-101 - Disclosure of Corporate Governance Practices ("NI 58-101"). The Corporate Governance Guidelines are recommended as "best practices" for issuers to follow. The Corporation recognizes that good corporate governance plays an important role in its overall success and in enhancing shareholder value and, accordingly, has adopted certain corporate governance practices which are reflective of the recommended Corporate Governance Guidelines.
Set out below is a description of the Corporation's approach to corporate governance in relation to the Corporate Governance Guidelines. Unless otherwise noted, the Corporation also complies with all aspects of the ASX Corporate Governance Council's "Principles of Good Corporate Governance and Best Practice Recommendations" (the "ASX Governance Principles"). The Corporation's approach to effective corporate governance is in accordance with the guidelines published by the Toronto Stock Exchange (‘TSX') (the ‘TSX Guidelines') and is consistent with the Australian Stock Exchange (‘ASX') guidelines.
